By accessing or using the services provided by TekFoundry ("Company", "we", "our", or "us"), you ("Client", "you", or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our services.

2. Services

TekFoundry provides software development, consulting, and related services. The specific scope of services will be outlined in a separate Statement of Work or agreement between you and TekFoundry.

3. Client Responsibilities

You agree to:

• Provide accurate and complete information required for the provision of services.
• Cooperate with our team to ensure timely delivery of the project.
• Ensure compliance with all applicable laws and regulations in your use of our services.

4. Payment Terms

Payment terms, including pricing and invoicing schedules, will be outlined in the Statement of Work or agreement. Invoices are payable within the time frame specified in the agreement. Late payments may incur additional charges.

5. Intellectual Property

TekFoundry retains ownership of all pre-existing intellectual property used in the delivery of services. Custom software or deliverables developed specifically for you will be transferred as per the terms outlined in the Statement of Work or agreement.

6. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary information shared during the course of the engagement. This obligation continues even after the termination of the agreement.

7. Limitation of Liability

To the extent permitted by law, TekFoundry shall not be liable for any indirect, incidental, or consequential damages arising from the use of our services. Our liability is limited to the total amount paid by you for the services.

8. Termination

Either party may terminate the agreement with written notice. Upon termination, you agree to pay for all services rendered up to the termination date.

9. Governing Law

These Terms shall be governed by the laws of the State of Wisconsin, without regard to its conflict of laws principles.

10. Changes to Terms

TekFoundry reserves the right to update these Terms at any time. Changes will be effective upon posting on our website or notification to you.
